Terms of Service
These Terms of Service ("Terms") apply to software products, extensions, plugins, updates, source code and related digital content published by AltumCode ("we", "us", "our"), including products sold through our websites or authorized third-party platforms (collectively, the "Products").
By purchasing, downloading, installing or using a Product, you agree to these Terms and our applicable Privacy Policy.
Individual Product pages or licenses may contain additional terms regarding permitted usage, license type, installations, support or included functionality. Where an explicit Product-specific term conflicts with these Terms, the Product-specific term applies only to that particular matter.
Nothing in these Terms limits rights that cannot legally be excluded under applicable law.
Product licenses
Purchasing a Product grants you a license to use it. You do not acquire ownership of the Product, its source code, copyrights or other intellectual property.
- One license may be used for one production website unless explicitly stated otherwise.
- The same license may also be used on associated development, staging or local environments.
- You may modify the source code for your licensed installation.
- You are responsible for modifications made by you or third parties.
- You may not redistribute, publish, share, sublicense, rent, lease, give away or resell the Product or its source code as a standalone product.
- You may not extract substantial portions of the Product to create, distribute or improve another standalone or competing product.
- You may not remove copyright, licensing or proprietary notices from the Product.
- You may only use our Products for lawful purposes.
Where a license permits transferring a website or business using the Product, the license may be transferred together with that website or business provided that the previous owner permanently stops using the transferred license.
Product delivery
Our Products are downloadable digital products and may contain readable source code.
A Product is considered delivered when the purchased files, download access, license information or another reasonable means of accessing the Product has been made available to you.
Choosing not to download, install or use an available Product does not mean that it was not delivered.
Purchases may be processed through authorized third-party platforms. Additional transaction terms presented by the platform used to complete the purchase may also apply. Nothing in these Terms creates an additional right to a refund or cancellation.
Before purchasing
We provide Product information that may include descriptions, feature lists, screenshots, live demos, documentation and technical requirements so that you can evaluate a Product before purchasing.
You are responsible for reviewing this information and determining whether the Product is suitable for your intended use and technical environment.
- Functionality that is not advertised, documented or demonstrated should not be assumed to be included.
- Demo data, users, statistics or other example content are illustrative and are not included unless expressly stated.
- Separately sold plugins, extensions, installation or customization services are not included unless expressly stated.
- Your hosting environment must satisfy the technical requirements published for the Product.
A difference between your personal expectations and the functionality that was actually described or demonstrated does not constitute a Product defect.
Source code modifications & compatibility
You may modify the Product source code for your licensed installation, but modifications are made at your own risk.
Problems caused by modified files, custom code, third-party plugins, unsupported environments, incorrect installation or server configuration are not considered defects in the original Product.
If a reported issue involves a modified installation, we may require you to reproduce it using a clean and unmodified version of the Product.
Support and defect investigation may also require reproduction using the latest available Product version or another version that we currently support.
Our Products may depend on browsers, hosting environments, databases, APIs, libraries or other third-party technologies. We cannot guarantee permanent compatibility with future third-party changes that are outside our control.
Updates
Unless stated otherwise for a particular Product, licenses include access to updates released during the lifetime of that Product.
"Lifetime updates" means updates made available during the commercial and development lifetime of the Product. It does not mean the lifetime of the purchaser and does not require us to develop or maintain a Product indefinitely.
Lifetime updates do not include separately released successor products, major rewrites, separately sold extensions or other products unless expressly stated otherwise.
We do not guarantee a particular update schedule, implementation of requested features, permanent compatibility with future third-party technologies or that a Product will remain under active development forever.
We may modify or discontinue a Product. Discontinuation after valid delivery does not by itself create a right to a refund except where required by applicable law.
Product support
Where support is included with a Product, it may include:
- answering technical questions directly related to the Product;
- answering non-technical questions directly related to the Product;
- help investigating potential bugs or Product issues.
Support does not include installation, server administration, updating your installation, customization, custom development, debugging your modifications or fixing unrelated third-party software.
These services may be offered separately for an additional fee.
Support response times are estimates and may vary. A delay in support does not by itself mean that the Product is defective or create a right to a refund.
We may refuse support where communications contain threats, harassment, abuse, hate speech or similarly inappropriate conduct.
Bugs, defects & refunds
Because our Products are downloadable digital source-code products that can be accessed, copied, inspected, modified and retained after delivery, sales are final and non-refundable once delivered, except where required by applicable law, applicable transaction terms or expressly approved by us.
Finding or reporting a bug does not automatically make a purchase eligible for a refund.
A Product defect means a material and reproducible failure of functionality that was expressly advertised as part of the Product at the time of purchase, when used in a supported environment and substantially in accordance with its documentation.
If you report a potential defect, you must provide reasonable information necessary to investigate it, which may include reproduction steps, screenshots, error messages, logs, Product version, server information and details regarding modifications or third-party integrations.
You must give us a reasonable opportunity to investigate and resolve a legitimate defect. We may resolve an issue through configuration instructions, a workaround, code patch, Product update or another reasonable technical solution.
A defect is not considered unresolved merely because you prefer a refund instead of a reasonable fix or workaround.
Reported security vulnerabilities will be investigated where applicable, and we must be given a reasonable opportunity to verify and remedy the issue before it is considered unresolved.
Refunds will normally not be provided because:
- you changed your mind or no longer need the Product;
- you purchased the wrong Product or license;
- you expected functionality that was not advertised;
- you do not have sufficient technical knowledge to use the Product;
- your server or hosting environment does not meet the published requirements;
- the issue is caused by modifications, custom code or third-party software;
- you request a new feature, integration or customization;
- a reported issue can reasonably be fixed or worked around;
- you refuse to provide information reasonably required to investigate an issue;
- you refuse a reasonable fix, patch, update, workaround or configuration solution;
- you are dissatisfied with support response time alone.
A refund may be considered for a material and reproducible defect affecting advertised functionality where, after a reasonable opportunity to investigate, we are unable to provide a reasonable solution.
Duplicate transactions, confirmed failures of delivery or exceptional circumstances may also be reviewed individually.
Refunds, chargebacks & license termination
If a purchase is refunded, reversed or successfully charged back, the associated Product license immediately terminates unless we expressly state otherwise.
You must then stop using the Product, remove it from production, staging and development environments and delete copies under your control. Support, updates and other license-related benefits also terminate.
A refund or payment reversal does not grant you the right to continue using or retaining the Product without a valid paid license.
If you believe there is a problem with a transaction or Product, you should contact us and provide a reasonable opportunity to investigate before initiating a payment dispute where reasonably possible.
We may contest payment disputes and provide relevant purchase, delivery, license, activation, support and communication records to parties involved in resolving the dispute.
Knowingly misrepresenting delivery, Product functionality or Product usage in order to obtain a refund or payment reversal constitutes a material breach of these Terms and may result in refusal of future licenses or support.
Product-specific limitations
Some Products may operate in environments affected by circumstances outside our control. For example, analytics, tracking, email delivery, payment processing or third-party API functionality may be affected by browsers, privacy settings, blockers, hosting providers, third-party services or external technology changes.
Where applicable, differences between results produced by our Product and another service do not by themselves establish that our Product is defective.
Your responsibilities
You are responsible for operating your website and Product installation safely and lawfully, maintaining backups, protecting license credentials and keeping your server and software appropriately maintained.
You are also responsible for ensuring that your use of a Product, including analytics, tracking, cookies, user data or other functionality, complies with laws and requirements applicable to your business and users.
To the extent permitted by law, you are responsible for claims arising from your unlawful use of a Product, your content or data, modifications made by you or third parties acting on your behalf, or your infringement of third-party rights.
Intellectual property
Our Products, source code, documentation, design, branding and other original materials are protected by copyright and other intellectual property laws.
Access to readable source code does not place the Product in the public domain and does not grant redistribution, sublicensing or resale rights beyond those expressly granted by your license.
Warranty disclaimer
To the maximum extent permitted by law, Products are provided on an "as described" and "as available" basis.
Software may contain defects, and we do not guarantee uninterrupted or completely error-free operation, compatibility with every possible environment, or that every reported issue will be corrected.
We do not guarantee that a Product will satisfy requirements or expectations that were not expressly described as part of the Product at the time of purchase.
Nothing in this section excludes warranties or protections that cannot legally be excluded.
Liability
To the maximum extent permitted by law, AltumCode shall not be liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, business opportunities, goodwill or data arising from the use or inability to use our Products.
You are responsible for maintaining appropriate backups before installing, modifying or updating a Product.
To the maximum extent permitted by law, our total liability relating to a Product shall not exceed the amount actually paid for the license giving rise to the claim.
Nothing in these Terms limits liability that cannot legally be limited.
Termination
We may suspend or terminate a license, support or related services if you materially breach these Terms, violate licensing restrictions, redistribute our Products without authorization, infringe our intellectual property rights, engage in fraud or payment abuse, or use a Product unlawfully.
Termination caused by your breach does not create a right to a refund.
Governing law
These Terms are governed by the laws of Romania, without regard to conflict-of-law principles.
To the extent legally permitted, disputes relating to these Terms or our Products shall be subject to the competent courts of Romania.
If you are a consumer, nothing in this section removes mandatory rights or protections that cannot legally be waived.
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.
General terms
These Terms, together with applicable Product-specific license terms and policies, constitute the agreement governing your use of our Products.
Our failure to enforce any provision does not waive our right to enforce that provision later.
Provisions concerning licensing restrictions, intellectual property, payments, liability and other provisions that by their nature should survive termination will remain effective after termination.
Changes
We may update these Terms from time to time. The current version will be published on this page with its applicable revision date.
